Jamaica Broilers Group Limited (“the Company”) wishes to provide its shareholders with an update with respect to the Annual General Meeting (AGM) scheduled for November 18, 2020.
Due to challenges related to the COVID-19 pandemic, the Company has applied to the Court seeking permission to host its AGM virtually.
Accordingly: –
- On October 15, 2020 – the Company wrote to the Jamaica Stock Exchange (JSE) confirming its agreement to participate in the Representative Action and granted consent to the JSE to make the application on its behalf (along with six other listed companies).
- On October 26, 2020 – the Supreme Court granted the JSE’s application to bring the claim on behalf of the seven companies for the Court to permit them to hold their annual general meetings electronically. The Company was then advised that the Supreme Court will hear the JSE’s claim on November 25, 2020.
In order to facilitate the decision of the Supreme Court, the Company will move to adjourn the Annual General Meeting at 2:00 p.m. on the scheduled date (November 18, 2020). Further to the decision of the Court, a new date for the AGM will be advised.
The Company will provide notification to shareholders in keeping with the Companies Act of Jamaica. Shareholders may also opt to receive said notification via email by completing the Information Mandate Form hosted at www.jamaicabroilersgroup.com/shareholders-info.
